By accessing or using the Vertext Digital platform, including the AI Email Agent, Bulk SMS Portal, and programmatic Airtime APIs, at sam.co.ke or associated subdomains, you agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and Vertext Digital. If you do not agree with any part of these Terms, you must immediately discontinue use of the platform.

Vertext Digital operates a unified business automation suite hosted at sam.co.ke. The platform integrates: (a) An AI Email Agent that reads, drafts, and sends inbox replies using Google OAuth 2.0; (b) A Bulk SMS broadcast gateway; (c) A programmatic Airtime Purchase API; and (d) Vector RAG database ingestion. All services share a unified wallet, RLS-secured database, and API credentials.

To access the platform, you must establish a secure account linked to your Google session, GitHub login, or email credentials. You are solely responsible for maintaining the confidentiality of your authorization credentials and API keys. Accounts sharing the same verified email or phone number are dynamically unified under a single primary wallet balance.

All core services — Bulk SMS, Airtime purchases, and Email Agent replies — deduct charges directly from a unified in-app wallet pool pre-funded via Paystack. Wallet balances are maintained in Kenyan Shillings (KES).

Deposits via Paystack support credit card, M-Pesa, and bank channels. All wallet top-ups are final, non-refundable, and non-transferable. In the event of platform carrier routing failures, failed transactions are automatically credited back to your wallet.

The AI Email Agent implements a consumption-based charging model. Each email reply processed — whether dispatched automatically or saved as a draft — charges your wallet KES 0.30 (or USD equivalent) at generation time. Sending a previously drafted email does not incur additional charges.

When you connect your Google Account, you grant delegated authority under gmail.modify and gmail.compose scopes. These are used strictly to read incoming unread messages, create draft responses, and send replies. OAuth credentials are encrypted at rest using AES-256-CBC and isolated per user via Supabase RLS. Google user data is never shared with third-party ad networks or data brokers.

The Email Agent supports uploading proprietary PDF documents to form a private knowledge base. The platform parses and vectorizes these documents into postgres embedding models for Retrieval-Augmented Generation. We are not responsible for confidential information processed within vector sets.

AI-generated email responses are compiled using Large Language Models and vectorized knowledge. You acknowledge that AI output can hallucinate or include erroneous claims. You assume full legal and operational responsibility for all email responses dispatched from your inbox.

All Bulk SMS campaigns must comply with the CAN-SPAM Act, Kenya Data Protection Act, and telecom marketing regulations. You must not send promotional messages without explicit recipient opt-in consent. Messages must include clear opt-out instructions.

Corporate custom Sender IDs require manual validation and approval from telecom networks. Dispatches made prior to carrier registration will default to shared promotional shortcodes.

The Airtime API provides distribution channels across Safaricom, Airtel, Telkom, Equitel, and Faiba JTL. Recipients receive an extra 2% airtime bonus on transactions of KES 50 and above. Once a carrier confirms a recharge as "Success", the transaction is irreversible.

To prevent duplicate dispatches, developers must supply a unique Idempotency-Key in HTTP request headers. The platform rejects duplicate requests with matching keys within a 15-minute window, returning HTTP 409.

For Airtime and Bulk SMS transactions, the platform transmits delivery status updates to your registered Webhook Callback URL via HTTP POST. You are responsible for maintaining public web server accessibility for your callback endpoints.

Programmatic access is protected via cryptographically derived Client Keys generated securely from your account ID. Sharing these keys with third parties exposes your unified wallet to unauthorized consumption at your own financial risk.

You agree not to use the Service to distribute phishing links, malware, hate speech, illegal products, or unauthorized advertisements. Any attempt to reverse engineer or perform DDoS attacks on our gateway APIs will result in immediate permanent account termination.

We implement automatic filters that inspect outbound SMS payloads and AI responses for keywords associated with banking fraud, phishing, or identity theft. If flagged, the transaction is suspended and the account is blocked pending compliance review.

Wallet balances do not expire as long as your account remains active. Accounts with zero login activity or API transactions for 12 continuous months may be declared dormant and assessed a nominal monthly maintenance fee.

The AI Email Agent loops in the background to process unread mails. Processing is capped according to user-selected settings. We reserve the right to throttle background cycles for accounts generating excessive incoming traffic.

Vertext Digital integrates third-party services including Google Cloud, Supabase, Groq API, and Paystack. We are not responsible for delays, data packet loss, or service failures caused by third-party infrastructure outages.

All platform components, including proprietary classification prompts, database schema configurations, logos, and frontend styles, are the sole intellectual property of Vertext Digital. No license is granted to copy or replicate our platform code for commercial resale.

Any suggestions or feature requests you submit may be implemented by us without financial compensation or ownership claims. We retain full rights to any software tools developed based on public feature feedback.

We strive to maintain 99.9% uptime for our developer API gateways. The platform may undergo scheduled system upgrades. We will announce planned maintenance 24 hours in advance. Emergency security patches may be deployed without prior notice.

We apply strict rate limits to our programmatic developer API gateways — a maximum of 60 requests per minute. Requests exceeding these limits receive HTTP 429. Dedicated high-throughput enterprise routing is available upon contract negotiation.

Upon account closure or token revocation, we delete all your stored Gmail OAuth access tokens, RAG knowledge base vector embeddings, and connection credentials from our production databases within 30 days.

To the maximum extent permitted by law, Vertext Digital is not liable for indirect, consequential, or exemplary damages. Our total aggregate financial liability shall not exceed the total amount deposited by you into your wallet in the 3 months preceding the claim.

You agree to indemnify and hold harmless Vertext Digital, its directors, developers, and partners against any third-party claims resulting from emails dispatched by your AI agent, SMS campaigns sent to non-consenting recipients, or airtime recharges sent to incorrect phone numbers.

Wallet balance purchases are paid in advance for platform consumption only. Vertext Digital is not a banking institution; unified wallet balances represent prepaid credits and do not accrue interest.

These Terms are governed by the laws of the Republic of Kenya. Any disputes that cannot be resolved through good-faith negotiation will be submitted exclusively to binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act.

We reserve the right to modify these Terms at any time. Changes will be posted to this page with an updated date. Continued use of the platform constitutes your legal acceptance of revised terms. For legal inquiries, email [email protected].
